Please read these Terms & Conditions carefully before commissioning our software development house or engaging with NEXthorne software and platforms.
1. Agreement to Terms
These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and NEXthorne ("we", "us", or "our"), concerning your access to and use of the NEXthorne website, as well as any other media form, media channel, mobile website, client portals, custom software deployments, or mobile applications related, linked, or otherwise connected thereto.
We are registered in the United Kingdom and Pakistan, operating custom software publishing, Agentic AI architectures, SaaS engineering, and education. By accessing or contracting our services, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions. If you do not agree with all of these terms, you are prohibited from using the site and our services, and you must discontinue use immediately.
2. Intellectual Property Rights
Unless otherwise indicated, the website and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws.
A. Custom Code & Product Deliverables
For clients contracting custom software, Agentic AI models, web applications, or MVP designs, the specific terms of intellectual property transfer are governed by individual written agreements (Service Level Agreements or Development Contracts). By default, upon full and final payment of all outstanding invoices and project milestones, ownership of the bespoke source code and assets custom-created for the client is fully transferred to the client, subject to our right to utilize standard reusable library modules and open-source packages.
3. User & Client Representations
By using our services or contacting us, you represent and warrant that:
- All registration and contact information you submit will be true, accurate, current, and complete.
- You will maintain the accuracy of such information and promptly update it as necessary.
- You have the legal capacity and you agree to comply with these Terms and Conditions.
- You are not a minor in the jurisdiction in which you reside.
- You will not access our secure portals or deployment environments through automated or non-human means, whether through a bot, script, or otherwise.
- Your use of our software solutions will not violate any applicable law or regulation.
4. Prohibited Activities
You may not access or use the site or our developed systems for any purpose other than that for which we make them available. Prohibited activities include, but are not limited to:
- Systematically retrieving data or other content from the website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us.
- Tricking, defrauding, or misleading us and other users, especially in any attempt to learn sensitive account credentials.
- Circumventing, disabling, or otherwise interfering with security-related features of the website or codebases.
- Disparaging, tarnishing, or otherwise harming, in our opinion, us and/or our products.
- Using any information obtained from our site or developers in order to harass, abuse, or harm another person.
- Using our deliverables or infrastructure to host, deploy, or propagate malicious software, phishing systems, or illicit content.
5. Fees, Invoicing & Payments
We offer bespoke software development, cloud operations, and Agentic AI integrations. Pricing for custom projects is detailed in individual proposals and contracts. By contracting NEXthorne, you agree to the payment schedules, milestones, and processing terms:
- Milestone Payments: Large-scale custom projects are divided into structured milestones (e.g., Discovery, UI/UX Design, Development Phase, Testing, and Deployment). Each phase requires partial or full release of funds prior to moving to the next stage.
- Processing Channels: Payments are processed via credit card gateways, wire transfers, or compliance-backed multi-currency channels supported by our financial intermediaries like WorldFirst and Airwallex. You agree to pay all transaction fees where applicable.
- Refunds: All payments and milestone installments are subject to our strict Refund Policy. Please review the policy carefully before entering billing agreements.
6. Disclaimer & Limitation of Liability
THE SITE AND ALL DIGITAL SOLUTIONS DEPLOYED BY US ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE AND OUR SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SOFTWARE, SERVICES AND YOUR USE THEREOF.
IN NO EVENT WILL NEXTHORNE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE OR WEBSITES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR MAXIMUM AGGREGATE LIABILITY FOR ANY CLAIM SHALL BE LIMITED TO THE TOTAL AMOUNT PAID TO US BY YOU DURING THE THREE (3) MONTH PERIOD PRECEDING THE CAUSE OF ACTION.
7. Governing Law and Dispute Resolution
These Terms and Conditions and your use of our site and services are governed by and construed in accordance with the laws of the United Kingdom (England and Wales) and Pakistan, without regard to conflict of law principles.
Any dispute, controversy, or claim arising out of or relating to these Terms, including their formation or breach, shall first be sought to be resolved amicably through good-faith negotiations. If negotiations fail, disputes shall be submitted to the exclusive jurisdiction of the competent courts of London, UK or Faisalabad, Pakistan, depending on the legal entity designated in the specific service contract.
